These Terms & Conditions (“Terms”) form a binding agreement between ViperERP (“we”, “us”, “our”) and you (“you”, “Customer”) governing access to and use of our websites, applications, and services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Acceptance of Terms
Accessing or using the Service signifies your acceptance of these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Accounts & Eligibility
- You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.
- You must be at least 18 years old or the age of majority in your jurisdiction.
- We may refuse, suspend, or terminate accounts at our reasonable discretion where permitted by law.
3. Subscriptions, Fees & Taxes
- Plans are billed in advance on a recurring basis unless cancelled. Taxes (e.g., GST) may apply.
- Upgrades take effect immediately; prorated charges may apply. Downgrades may reduce features at the next billing cycle.
- Late or failed payments may lead to suspension after notice. You are responsible for charges incurred under your account.
- Refunds and cancellations are governed by our Refund Policy available on our website.
4. License & Access
Subject to these Terms and timely payment of fees, we grant a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your internal business purposes. You may not reverse engineer, decompile, or circumvent any security or access controls.
5. Acceptable Use
- No unlawful, harmful, infringing, or offensive content or activity.
- No interference with Service integrity or security, including unauthorized access or scanning.
- No spam, automated messaging abuse, or resource overuse that degrades performance.
- We may suspend or limit access to protect the Service or address violations.
6. Customer Data & Privacy
You retain ownership of your “Customer Data.” We process it only to provide and improve the Service, consistent with our Privacy Policy. You are responsible for obtaining necessary consents and lawful bases for processing Customer Data.
7. Intellectual Property
The Service, including software, UI/UX, designs, and trademarks, is owned by ViperERP and its licensors and protected by applicable laws. No rights are granted except as expressly stated.
8. Third‑Party Services
Certain features may integrate with third‑party services (e.g., payment gateways, WhatsApp). Your use of such services is governed by those providers’ terms and privacy policies.
9. Disclaimers & Warranties
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant uninterrupted or error‑free operation.
10. Limitation of Liability
To the fullest extent permitted by law, ViperERP will not be liable for any indirect, incidental, special, punitive, or consequential damages, or loss of profits, revenue, data, or goodwill. Our aggregate liability for all claims arising out of or related to the Service shall not exceed the fees paid by you to ViperERP in the twelve (12) months preceding the event giving rise to the claim.
11. Suspension & Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non‑payment, or risk to the Service, with notice where reasonably practicable. Upon termination, your license ends and access to the Service ceases.
12. Data Export & Retention
During the subscription, you can export your data using available features. After termination, we may retain data for a limited period for legal and operational reasons, after which it is deleted or anonymized per our retention policies.
13. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflicts of law principles. Courts located in [Your City], India shall have exclusive jurisdiction, unless otherwise agreed in a separate written agreement.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via the website or email. Continued use after changes become effective constitutes acceptance of the revised Terms.
